Understanding offtake agreements

How a future supply commitment can connect producers and buyers.

A framework for future delivery

An offtake agreement sets terms under which a buyer purchases some or all of a producer’s output. Volume, quality, delivery timing and pricing mechanisms need to reflect the production process and customer requirements.

The questions that matter

Consider the contract duration, minimum quantities, flexibility, inspection process and what happens if output differs from expectations. A long-term arrangement still requires a workable day-to-day delivery process.

Commercial and project context

Offtake arrangements may support a producer’s route to market, but they are not automatically financing commitments or guarantees of project success. Each agreement needs transaction-specific technical, financial and legal review.
